KDK Events reserves the right to modify or replace these Terms at any time. Any changes will be effective immediately upon posting on the Site. It is your responsibility to review these Terms periodically. Your continued use of the Site and Services following the posting of any changes constitutes acceptance of those changes.

4. Use of the Site and Services

4.1 Eligibility

By using our Site and Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our Site and Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to ensure it remains accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

KDK Events provides event management services, including but not limited to event planning, coordination, ticketing, and promotional services. The specific services provided will be outlined in a separate agreement between KDK Events and the Client. 

5.1 Event Planning and Coordination

KDK Events offers comprehensive event planning and coordination services tailored to meet the needs of our clients. This includes venue selection, vendor management, event design, and on-site event management.

5.2 Ticketing Services

KDK Events provides online ticketing services for events. Clients can sell tickets to their events through our platform. KDK Events will collect payments from ticket purchasers on behalf of the Client and remit the proceeds to the Client, minus any applicable fees. 

5.3 Promotional Services

KDK Events offers promotional services to help clients market their events. This may include email marketing, social media promotion, and other marketing strategies.

6. Fees and Payments

6.1 Service Fees

KDK Events charges fees for the use of our Services. The specific fees for each service will be outlined in a separate agreement between KDK Events and the Client. All fees are non-refundable unless otherwise stated. 

6.2 Payment Terms

Payments for services must be made in accordance with the payment terms specified in the agreement between KDK Events and the Client. Failure to pay any fees when due may result in the suspension or termination of your account and access to our Services.

6.3 Taxes

You are responsible for all applicable taxes, duties, or other governmental assessments, including, but not limited to, value-added, sales, use, or withholding taxes, assessable by any jurisdiction whatsoever, associated with your use of our Services.

7. Cancellation and Refund Policy

7.1 Event Cancellation by Client

If a Client wishes to cancel an event, they must provide written notice to KDK Events. The terms of the refund, if any, will be outlined in the agreement between KDK Events and the Client.

7.2 Event Cancellation by KDK Events

KDK Events reserves the right to cancel an event at any time for any reason. If KDK Events cancels an event, Clients will receive a full refund of any fees paid for the event.

7.3 Refund Policy

Refunds for ticket purchases will be handled in accordance with the refund policy specified in the agreement between KDK Events and the Client. Generally, ticket purchases are non-refundable unless the event is cancelled by KDK Events.

8. Intellectual Property

8.1 Ownership

All content and materials on the Site, including but not limited to text, graphics, logos, images, and software, are the property of KDK Events or its licensors and are protected by intellectual property laws. You may not use, reproduce, or distribute any content or materials on the Site without the prior written permission of KDK Events.

8.2 Trademarks

The trademarks, service marks, and logos used and displayed on the Site are registered and unregistered trademarks of KDK Events or its licensors. You may not use these trademarks without the prior written permission of KDK Events or the respective trademark owner.

9. Privacy Policy

Your use of the Site and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Site and Services, you consent to the practices described in our Privacy Policy.

10. Limitation of Liability

10.1 Disclaimer of Warranties

To the fullest extent permitted by law, KDK Events, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

You agree to indemnify, defend, and hold harmless KDK Events, its directors, officers, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

Any claim that your use of the Site or Services caused damage to a third party.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which KDK Events is based, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the Site or Services will be subject to the exclusive jurisdiction of the courts located in that jurisdiction. 

13. Dispute Resolution

13.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Site or Services (collectively, "Disputes"), the parties shall first attempt to resolve the Dispute informally.

13.2 Arbitration

If the Dispute cannot be resolved informally, it shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction where KDK Events is based, unless otherwise agreed by the parties.

14. Termination

14.1 Termination by You

You may terminate your account and stop using the Site and Services at any time.

14.2 Termination by KDK Events

KDK Events may terminate or suspend your account and access to the Site and Services at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Site and Services will immediately cease

KDK Events may include advertisements on its own behalf or paid advertisements on behalf of interested companies and/or individuals on the Site. By clicking on the advertisements, you may be redirected to a website of the advertiser or receive other messages, information, or offers from the advertiser. You acknowledge and agree that KDK Events is not liable for the privacy practices of advertisers or the content of their websites, information, messages, or offers. Your dealings with, or participation in promotions of, advertisers, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and the advertiser.

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Site and Services ("Feedback"). KDK Events is committed to protecting your privacy and complying with the General Data Protection Regulation (GDPR). 17.2 Data Deletion

In compliance with GDPR, KDK Events will delete all personal data associated with your account and event three months after the conclusion of the event. This includes, but is not limited to, contact information, payment details, and any other personally identifiable information collected during the course of providing our Services. If you wish to request the deletion of your data prior to this period, please contact us at gdpr@kdkevents.org. We will process your request in accordance with applicable laws and our internal procedures.
